Captain Enrollment Agreement

Effective May 1, 2026 — Please read in full and sign below.

Captain Enrollment Agreement

This Enrollment Agreement (“Agreement”) is entered into between ZS Offshore, a service of Hedley-Urban Marine Holdings, LLC (“ZS Offshore”), and the individual enrolling as a Captain in the Sedna Co-Captain Network (“Captain”).

1. Duties and Obligations — Catch Data

By joining the Sedna Co-Captain Network, Captain agrees that all catch data shall be submitted through the ZS Offshore platform — including but not limited to the species, GPS coordinates, sea and climate conditions, fishing methods and technique, and Angler name for the fish caught (“Catch data”). Captain will enter the Catch data into the Sedna Intelligence system.

ZS Offshore represents that Catch data will be used for trip planning intelligence, species location forecasting, seasonal trend analysis, and fleet-level reporting. The Captain’s real-time waypoints shall not be exposed to other captains without Captain’s consent.

2. Operational Responsibility

Captain expressly accepts all operational responsibility, decision-making authority, and liability for any vessel he/she operates, and his/her client(s), passenger(s), and crew-member(s). ZS Offshore provides the Captain advisory information only and shall not be solely relied upon; it does not supervise, dispatch, or direct the operation of any vessel.

3. Crew Enrollment

Captain may invite crew members to enroll through the ZS Offshore Crew enrollment flow. Each enrolling crew member will confirm their own profile information but is in privity to this Agreement and its Terms and Conditions. The Captain remains responsible for the safety, conduct, decision-making and participation of any crew they invite or hire onto the Captain’s vessel.

4. SMS / MMS Communications

Captain may separately opt in to receive SMS notifications from ZS Offshore (Hedley-Urban Marine Holdings, LLC), including post-trip survey links, trip summaries, and platform updates. Message frequency varies. Message and data rates may apply. Captain may reply STOP at any time to opt out, or HELP for assistance. SMS opt-in is optional and shall not be required to participate in the Co-Captain Network.

5. Termination

This Agreement becomes effective and binding upon signature and Captain’s enrollment in the enrollment flow. The Captain and ZS Offshore each reserve the right to terminate this Agreement without cause. Captain may terminate this Agreement by withdrawing from the Co-Captain Network. ZS Offshore may terminate this Agreement by revoking Captain’s access to the Co-Captain Network. ZS Offshore’s rights to use previously contributed anonymized and aggregated data survive termination.

6. Acknowledgment of Policies

Captain acknowledges having read, understood, and agreed to the ZS Offshore Privacy Policy and Terms and Conditions, each incorporated into this Agreement by reference.

7. Acceptance

Captain and ZS Offshore accept the terms of this Agreement upon signing below. A countersigned PDF copy shall be generated at enrollment and retained in both Parties’ records.
