1. Agreement to Terms

By enrolling in the ZS Offshore platform and/or the Sedna Co-Captain Network (collectively, the "Service") operated by ZS Offshore, a service of Hedley-Urban Marine Holdings, LLC ("we," "us," or "our"), at zsoffshore.life, and by sending MMS messages to our service phone number, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Description of Service

ZS Offshore is an intelligence-driven offshore fishing platform for recreational and charter fishing vessels. The Service allows enrolled users to:

• Submit catch photographs via MMS to a designated phone number
• Receive automated catch data extraction powered by AI image analysis
• Complete post-trip surveys to supplement catch data
• Receive personalized catch reports and catch cards via SMS/MMS
• Contribute to aggregated, anonymized fishing analytics

3. Eligibility

You must be at least 18 years old and possess a valid phone number capable of sending and receiving SMS/MMS messages to use the Service. By using the Service, you represent that you meet these requirements.

4. Enrollment and Registration

Enrollment in the ZS Offshore platform is by invitation. You must be added to our contact registry with a valid phone number, vessel name, and captain name. You agree that the information you provide during enrollment is accurate and current. You are responsible for notifying us of any changes to your contact information.

5. User Responsibilities

As a user of the Service, you agree to:

• Submit only your own catch photographs or photographs you have permission to share
• Provide accurate information in surveys and submissions
• Comply with all applicable federal, state, and local fishing laws and regulations
• Not use the Service for any unlawful purpose, including reporting illegal catches
• Not attempt to interfere with, disrupt, or reverse-engineer the Service

6. SMS/MMS Terms

By using the Service, you consent to receive automated SMS and MMS messages from us at the phone number you provide. You understand and agree that:

• Message and data rates may apply depending on your mobile carrier and plan
• Message frequency varies based on your submissions (typically 2–6 messages per trip submitted)
• You may opt out at any time by texting STOP to our service number
• You may text HELP for assistance or contact us at info@zsoffshore.life
• Carriers are not liable for delayed or undelivered messages
• We will not share your phone number with third parties for marketing purposes

7. SMS Communications

By enrolling in the Sedna Co-Captain Network and opting in to SMS communications, you consent to receive text messages from ZS Offshore / Hedley-Urban Marine Holdings, LLC at the mobile number provided. Message frequency varies. Msg & data rates may apply. You may opt out at any time by replying STOP. For help, reply HELP or contact info@zsoffshore.life. Opting out will not affect your platform access.

8. Intellectual Property

You retain ownership of all photographs and content you submit. By submitting content to the Service, you grant us a non-exclusive, royalty-free license to process, analyze, store, and display your submissions solely for the purpose of providing the Service and generating your catch reports. We retain ownership of all catch reports, catch cards, analytics, and other materials generated by the Service.

9. AI-Powered Data Extraction

The Service uses artificial intelligence (Anthropic Claude) to extract catch data from submitted photographs. You acknowledge that AI extraction may not always be perfectly accurate. Extracted data is provided on a best-effort basis, and you should verify critical information (such as species identification for regulatory compliance) independently. We are not responsible for errors in AI-generated data.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We do not warrant the accuracy of AI-extracted data, species identification, or any other information generated by the Service.

11. Limitation of Liability

To the maximum extent permitted by law, ZS Offshore and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of catch records, inaccurate species identification, or disclosure of GPS coordinates. Our total liability for any claim related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $50, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZS Offshore and its operators from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any fishing law or regulation.

13. Termination

You may stop using the Service at any time by texting STOP or contacting us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your data will be handled in accordance with our Privacy Policy.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Rhode Island.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify enrolled users of material changes via SMS. Your continued use of the Service after notification constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
